2. Website Purpose
This website is a business-to-business corporate and enquiry platform.
It provides information about:
- our group and operations;
- seafood products;
- aquaculture and processing capabilities;
- quality and certification systems;
- packaging and private-label services;
- export-market support;
- business partnership opportunities.
The website is not an online store. Products cannot be purchased solely by submitting a website form or clicking a website button.
3. Enquiries Are Not Orders
Submitting an enquiry, quotation request, RFQ form, WhatsApp message or email does not:
- constitute a purchase order;
- create a binding sales contract;
- reserve stock or production capacity;
- guarantee a price, specification or delivery date;
- oblige us to accept an order.
A transaction becomes binding only after the relevant commercial documents have been accepted or executed by the authorised parties.
These may include a quotation, sales contract, pro forma invoice, purchase-order acceptance or written order confirmation.
4. Quotations and Order Confirmation
All quotations are subject to:
- product availability;
- production and harvest schedules;
- final product specifications;
- minimum-order requirements;
- packaging requirements;
- destination-market requirements;
- shipping and cold-chain availability;
- certification and documentation requirements;
- the validity period stated in the quotation.
We may withdraw or revise a quotation before acceptance where there is an error, material change in cost, regulatory change, supply disruption or other reasonable commercial reason.
The buyer is responsible for checking all details before confirming an order.
5. Contract Priority
Where there is a conflict between these website Terms and a separately signed or accepted commercial document, the following order of priority will generally apply:
- signed sales or supply agreement;
- written order confirmation or accepted pro forma invoice;
- accepted quotation;
- these website Terms.
Any different priority expressly stated in a signed agreement will apply.
6. Product Information
We take reasonable care to present accurate product and capability information. However:
- product availability may change;
- natural products may vary in colour, shape, texture or appearance;
- photographs are illustrative;
- sizes, grades, glazing, weights and packing may be subject to agreed tolerances;
- product forms and specifications depend on processing capability and order requirements;
- certifications may apply only to specified legal entities, facilities, farms, products or scopes.
Final specifications will be stated in the applicable quotation, specification sheet or sales agreement.
7. Sashimi-Grade and Product Claims
References to sashimi-grade capability, premium quality, chilled freshness or other product characteristics apply only where confirmed for the relevant product, specification, processing method and handling conditions.
Such references do not replace the buyer’s responsibility to assess suitability for the intended market, customer or use.
8. Prices, Taxes and Payment
Prices, currencies, deposits and payment terms will be stated in the applicable quotation, pro forma invoice or sales agreement.
Unless expressly stated otherwise:
- prices exclude applicable taxes, duties and charges;
- bank charges are borne by the party specified in the commercial documents;
- payment must be made using the agreed method;
- production or shipment may be withheld until required payment conditions are satisfied.
Website content does not constitute a standing price offer.
9. Importer and Buyer Responsibilities
The buyer is responsible for:
- providing complete and accurate order information;
- confirming destination-market requirements;
- obtaining required import licences, permits and approvals unless expressly agreed otherwise;
- reviewing labels and product specifications;
- ensuring the product is legally importable and suitable for its intended use;
- providing accurate consignee and shipping details;
- complying with sanctions, customs, food-safety and market regulations applicable to the buyer.
Assistance provided by THE SEA MARINE does not transfer the buyer’s legal responsibilities unless expressly agreed in writing.
